Agreement to Terms

These Terms of Service constitute a legally binding agreement between you (whether personally or on behalf of an entity) and MediaBriz, concerning your access to and use of the MediaBriz platform and services. You agree that by accessing the service, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the service.

Acceptable Use

You agree to use MediaBriz only for lawful purposes and in accordance with these Terms. You agree not to use the service to upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable. You also agree not to interfere with or disrupt the service or servers or networks connected to the service.

User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading.

Intellectual Property Rights

The service and its original content, features, and functionality are owned by MediaBriz and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any content you upload to the service. By uploading content, you grant us a license to use, store, and process that content solely for the purpose of providing the service to you.

Service Availability

We strive to provide reliable and continuous service, but we do not guarantee that the service will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the service.

Subscription and Payment

Access to certain features of MediaBriz requires a paid subscription. You agree to pay all fees associated with your subscription plan. Subscription fees are billed in advance on a recurring basis (monthly or annually) and are non-refundable except as required by law. We reserve the right to change our pricing with 30 days' notice to active subscribers.

Data Protection and Privacy

We are committed to protecting your data and privacy. Our collection and use of personal information is described in our Privacy Policy. By using the service, you consent to our collection and use of your information as described in the Privacy Policy. You are responsible for ensuring that any data you upload to our service complies with applicable data protection laws.

Limitation of Liability

To the maximum extent permitted by law, MediaBriz shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless MediaBriz and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any rights of another party.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the service will immediately cease. You may terminate your account at any time by contacting us. All provisions of these Terms which by their nature should survive termination shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MediaBriz operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the service. Your continued use of the service after such modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
